Affiliate Charter & Contract Terms

1. Scope

This Charter governs the relationship between Dex Networking L.L.C. (Prishtina, Kosovo — operator of Temto) and you as an Affiliate, from the moment your application is approved via temto.ai/affiliate/apply. It complements Temto's general Terms of Service and Privacy Policy — in case of conflict the ToS govern platform use, this Charter governs the Affiliate-specific commission and marketing relationship.

2. Status as Intermediary

As an Affiliate you act as an independent intermediary for the Temto software, not as an employee, agent, or attorney-in-fact of Dex Networking. You are fully responsible for the taxation of your earnings in your country of residence.

3. Marketing & Advertising Standards

Binding under the EU Markets in Crypto-Assets Regulation (MiCAR), Art. 88 ff.: Advertising for crypto assets must be clearly identifiable as marketing, fair, clear and non-misleading. Risks must be communicated in an understandable way.

3.1 Mandatory disclaimer

Every post containing performance data or returns must visibly include the following or an equivalent disclaimer:

"Past performance is not a guarantee of future results. Cryptocurrency trading involves substantial risk of loss. Temto provides software-based analytics — not investment advice."

4. Self-Referral & Fraud

Creating your own user accounts via your referral link is prohibited. The system detects this automatically via email normalization, IP correlation and bot signatures. Detected self-referrals trigger no commission. Repeated attempts or registering disposable accounts to manipulate tier-promotion thresholds result in immediate suspension and the loss of all pending commissions.

5. Commissions, Clawback & Payout

Commission rates, tier promotion, sub-affiliate overrides and payout mechanics are detailed on /affiliate/how-it-works and in the FAQ and are part of this Charter. Key points:

• Refund clawback: if a referred user is refunded within the first 60 days, the corresponding commission is automatically reversed.
• Minimum payout: 100 € available balance.
• Payout: SEPA or crypto, manual approval within a few business days.
• Rate changes are possible with 30 days' notice; existing accrued commissions are excluded from such changes.

6. Privacy & Tracking

Clicks and conversions are tracked pseudonymously (HMAC hash of IP and User-Agent strings; no raw IP storage). 1st-party cookies with 90-day lifetime. Full details in the Privacy Policy.

7. Suspension & Termination

Either party may terminate this agreement at any time. In case of violations of the Charter (see §3), Dex Networking reserves the right to immediately suspend the Affiliate status. During suspension, available commissions are frozen pending clarification; on confirmed violation they are forfeited. Paid commissions from legitimate conversions are not clawed back.

8. Liability Limitation

Dex Networking's liability towards Affiliates is, to the extent permitted by law, limited to the total amount of commissions paid out in the preceding twelve months. No liability for lost profits, third-party content, or audience loss.

9. Governing Law & Jurisdiction

The laws of the Republic of Kosovo apply. Place of jurisdiction is Prishtina, unless mandatory consumer-protection rules require otherwise.

10. Charter Changes

We may amend this Charter with 30 days' notice. Material changes will be communicated by email to all active Affiliates. An Affiliate who objects to the changes can terminate the Affiliate status with effect to the end of the notice period.
